By accessing or using the Sàwai Capital Dealroom platform ("Platform"), operated by Sawaicap Ventures Private Limited ("Company", "we", "us", "our"), you agree to be bound by these Terms & Conditions. If you do not agree to these terms, you must not use the Platform.

The Platform is intended exclusively for verified High Net-worth Individuals (HNIs), Ultra-HNIs, Family Offices, Private Equity Funds, Venture Capital Funds, and other Institutional Investors meeting the eligibility criteria as defined under applicable Indian securities laws. By using the Platform, you represent and warrant that you meet these criteria.

Nothing on the Platform constitutes investment, financial, tax, legal, or any other professional advice. All deal information, projections, and return figures are for informational purposes only. You should consult your own advisors before making any investment decision.

All deal-related information accessible through the Platform — including Information Memoranda, term sheets, financial projections, and originator details — is strictly confidential. You agree to maintain confidentiality and not to disclose, reproduce, or distribute such information without the prior written consent of Sàwai Capital.

Access to detailed deal materials requires execution of a deal-specific Non-Disclosure Agreement (NDA) through the Platform. Such NDAs are legally binding and enforceable.

Investments in private markets carry significant risk, including but not limited to loss of capital, illiquidity, market volatility, and originator default. Target returns are estimates only and are not guaranteed. Past performance is not indicative of future results.

The Platform is not a public offer, advertisement, or solicitation to invest. All transactions occur directly between the investor and the originator/fund manager.

All content on the Platform, including text, graphics, logos, and software, is the property of Sawaicap Ventures Private Limited or its licensors and is protected by Indian and international intellectual property laws.

You are responsible for maintaining the confidentiality of your login credentials. Any activity occurring under your account is your responsibility.

We reserve the right to suspend or terminate your access to the Platform at any time, without prior notice, for any breach of these terms or for any other reason at our sole discretion.

To the maximum extent permitted by law, Sàwai Capital and its affiliates, directors, officers, employees, and agents shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of your use of the Platform.

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Gurugram, Haryana.

We may update these Terms from time to time. The updated version will be effective upon posting. Your continued use of the Platform after such updates constitutes acceptance of the revised Terms.
